1. Scope

These General Terms and Conditions (“GTC”) apply to all contracts, bookings and services between ZAFE GmbH, operating under the brand Simudrom, and its customers, in particular in connection with sim racing offers, events, vouchers, subscriptions, memberships and other services agreed online, by telephone, by email or on site.

Any deviating terms and conditions of customers shall only apply if expressly accepted by us.

2. Contracting Party

The contracting party is:

hereinafter referred to as “Simudrom”, “we” or “us”.

3. Conclusion of Contract

The presentation of our services on our website, in booking systems, on platforms or in advertising materials does not generally constitute a legally binding offer, but rather an invitation to make a booking or place an order, unless expressly stated otherwise.

A contract is concluded by a binding booking or order placed by the customer and our acceptance thereof, in particular by means of a booking or order confirmation, or through the actual provision of the service.

For online bookings, online purchases and subscriptions, the terms stated during the respective booking or payment process shall additionally apply.

The specific product or service description applicable at the time the contract is concluded forms part of the contract.

4. Services and Prices

Our services include in particular:

  • use of professional sim racing systems,

  • sim racing experiences and driving time,

  • sim racing events and competitions,

  • group offers and corporate events,

  • vouchers and value vouchers,

  • subscriptions and memberships,

  • additional services such as beverages, workshops and other ancillary services.

The specific scope of services is determined by the respective offer or product description applicable at the time the contract is concluded.

All prices are stated in euros and include statutory VAT, where applicable, unless expressly stated otherwise.

Changes to prices and services generally apply to future contracts. For contracts already concluded, the agreed prices and services shall apply. Changes to existing contractual relationships shall only be made within the scope of the contractual agreement and applicable statutory provisions.

Obvious errors and input mistakes are reserved.

5. Payment Terms

Depending on the offer, booking system or individual agreement, payment may be made in advance, online or on site.

Accepted payment methods may include in particular:

  • card payment,

  • online payment systems such as PayPal or Stripe, where offered,

  • cash payment on site, where offered,

  • other payment methods shown during the booking or ordering process.

As a general rule, entitlement to the provision of a service only arises once all amounts due have been paid in full, unless expressly agreed otherwise.

6. Cancellation, No-Show and Late Arrival

The following cancellation conditions apply to booked appointments unless otherwise stated for the respective offer:

  • up to 48 hours before the appointment: free of charge,

  • less than 48 hours before the appointment: 50% of the agreed price,

  • failure to attend without timely cancellation: full price.

Cancellations may be made via the communication or booking channels provided by Simudrom.

In the event of late arrival, the booked usage time may be reduced accordingly. In such case, there is no entitlement to an extension or refund unless the delay is attributable to Simudrom.

Bookings made as part of a subscription are additionally subject to the provisions governing subscriptions.

Statutory withdrawal rights and other mandatory consumer rights remain unaffected.

7. Vouchers

7.1 General

Simudrom offers various types of vouchers, including in particular:

  • value vouchers,

  • vouchers for specific services or products,

  • time-based service vouchers,

  • promotional, discount or complimentary vouchers.

Vouchers may be purchased or issued online, on site or through selected distribution partners.

The terms stated on the voucher, in the order confirmation or in the respective offer shall apply.

7.2 Value Vouchers

Value vouchers are issued for a specific monetary amount and may be redeemed for Simudrom services unless otherwise stated at the time of purchase.

Value vouchers purchased against payment may generally be redeemed within the statutory limitation period unless a legally permissible alternative arrangement has been agreed.

Cash payment of the voucher value or any remaining balance is excluded to the extent permitted by law.

Remaining balances shall remain available and may be used for future services where technically and organisationally possible.

7.3 Service Vouchers

Service vouchers entitle the holder to use the service specified on the voucher.

If the originally specified service is no longer available at the time of redemption or can no longer be provided for objective reasons, Simudrom may offer an equivalent substitute service.

If an equivalent substitute service is not possible, the original voucher value may be credited towards other available services.

7.4 Time-Based Service Vouchers

For vouchers which, following activation, entitle the holder to use certain services for an agreed period, the usage period begins upon first activation or redemption unless otherwise stated in the respective offer.

Activation may in particular occur through the first booking or use of the related service.

Unused services within an already activated usage period expire upon expiry of that period, unless the non-use is attributable to Simudrom or otherwise stated in the respective offer.

7.5 Booking Appointments Using Vouchers

Vouchers do not provide an entitlement to a specific preferred appointment.

Appointments are subject to availability, opening hours, capacity and the respective offer.

Customers are responsible for booking their preferred appointments in good time.

7.6 Transferability

Vouchers are generally transferable unless otherwise stated on the voucher or in the respective offer.

Commercial resale, auctioning or other commercial exploitation of vouchers is not permitted without Simudrom’s prior consent.

Simudrom is entitled to require the voucher code, order confirmation or other suitable proof when a voucher is redeemed.

7.7 Loss, Theft and Misuse

Simudrom shall not be liable for loss, theft, unauthorised transfer or misuse of vouchers or voucher codes unless Simudrom is responsible for such loss or misuse.

Where there is reasonable suspicion of misuse or manipulation, Simudrom may temporarily refuse redemption until the matter has been clarified.

7.8 No Cash Redemption

Vouchers and remaining balances cannot be redeemed for cash to the extent permitted by law.

7.9 Promotional, Discount and Complimentary Vouchers

Promotional, discount and complimentary vouchers issued free of charge may be subject to time limits, restricted to specific services or subject to specific conditions.

The applicable conditions are stated on the voucher or in the relevant promotion.

Such vouchers cannot be redeemed for cash and cannot be combined with other promotions unless expressly stated otherwise.

8. Subscriptions and Memberships

8.1 General

Simudrom offers various subscriptions and memberships, hereinafter jointly referred to as “subscriptions”.

The specific scope of benefits under each subscription, including in particular included driving time or free minutes, discounts, event entries, additional benefits, price, billing interval and, where applicable, minimum contract term, is determined by the applicable product description at the time the contract is concluded.

The benefits agreed at the time the contract is concluded form part of the contract.

Subscriptions are distinct from vouchers and establish a contractual relationship for the term agreed at the time of conclusion.

8.2 Contract Start, Term and Billing

The subscription begins at the time specified during the conclusion of the contract.

Subscriptions may in particular be offered with monthly or annual payment and with different contractual terms.

The applicable contract term, minimum term, payment method, billing arrangement and termination options are stated before the subscription is concluded.

Where annual payment in advance applies, the agreed annual amount is due in advance. Any monthly amount additionally displayed is for comparison purposes only, provided it is expressly stated that payment is actually made annually.

8.3 Provision and Expiry of Free Minutes

The free minutes included in the respective subscription are determined by the product description applicable at the time the contract is concluded.

Free minutes stated on a monthly basis are made available for the respective monthly usage period.

Unused free minutes expire at the end of the respective monthly usage period. They are not carried over to the following month or any later period.

This also applies to subscriptions paid annually. Annual payment does not affect the monthly provision or monthly expiry of free minutes.

Cash payment or other compensation for unused free minutes is excluded to the extent permitted by law.

If a service already confirmed cannot be provided for reasons attributable to Simudrom, the customer’s statutory rights remain unaffected.

8.4 Booking and Availability

Use of driving time and other services requiring reservation generally requires prior booking.

A subscription does not provide an entitlement to a specific appointment, simulator, vehicle, track or specific software content unless expressly included in the relevant offer.

Bookings are subject to opening hours, available capacity, events and technically or operationally necessary restrictions.

Customers are responsible for booking their preferred appointments in good time.

8.5 Cancellation and No-Show for Subscription Bookings

Appointments booked under a subscription are subject to the general cancellation conditions unless otherwise stated in the respective offer.

In the event of a no-show or failure to cancel in time, the free minutes or other subscription benefits reserved for the appointment may be deemed fully or partially used in accordance with the applicable cancellation conditions.

In the event of repeated no-shows, repeated short-notice cancellations or abusive blocking of appointments, Simudrom may, after prior warning, take reasonable measures, in particular temporarily restricting the ability to make future reservations.

8.6 Personal Use and Transferability

Subscriptions are personal and non-transferable unless otherwise stated in the respective offer.

Customers may not transfer login details, free minutes, event entries or other personal subscription benefits to third parties.

Where there is reasonable suspicion of misuse, Simudrom may require appropriate proof of entitlement to use the subscription.

8.7 Discounts and Benefits

Where a subscription includes discounts or other benefits, the amount, scope and any restrictions are determined by the applicable product description.

Discounts and benefits cannot be redeemed for cash.

Unless otherwise stated in the respective offer, there is no entitlement to combine multiple discounts, promotions or benefits.

8.8 Event Entries

Where a subscription includes event entries, the applicable number is determined by the respective product description.

Event entries are made available for the respective monthly usage period.

Unused event entries expire at the end of the respective monthly usage period and are not carried over to the following month or any later period.

This also applies to subscriptions paid annually.

An event entry entitles the customer to participate in a correspondingly designated Simudrom event. Participation requires timely registration and is subject to the availability of starting places.

There is no entitlement to participate in a specific event or at a specific date or time.

Cash payment or other compensation for unused event entries is excluded to the extent permitted by law.

If no suitable event is offered by Simudrom within a monthly usage period, or if an already confirmed event entry cannot take place for reasons attributable to Simudrom, the affected event entry shall be carried over to the following usage period or an appropriate alternative shall be offered.

8.9 Fair Use and Misuse

Subscriptions may only be used within the scope of their intended personal use.

The following in particular are not permitted:

  • automated reservations,

  • systematic blocking of appointments without an actual intention to use them,

  • commercial transfer or sale of subscription benefits,

  • unauthorised use by third parties,

  • other manipulation or abusive use of the booking or subscription system.

In the event of serious or repeated violations, Simudrom may, after prior warning, reasonably restrict use.

The right to terminate the contract for good cause remains unaffected.

8.10 Recurring Payments

For subscriptions involving recurring payments, the agreed amount shall be charged in accordance with the selected payment interval using the payment method selected when the contract was concluded.

Customers are responsible for ensuring that the stored payment method is valid and can be charged at the relevant due date.

If a due payment cannot be processed, Simudrom may request that the customer update the payment details or settle the outstanding amount.

Until all due amounts have been paid in full, Simudrom may temporarily suspend access to benefits associated with the subscription.

Statutory rights in the event of late payment remain unaffected.

8.11 Termination

The applicable minimum contract term, notice period and termination options for the respective subscription are stated before the contract is concluded.

Termination may be submitted via an electronic termination option provided by Simudrom or by email.

Ordinary termination ends the subscription at the agreed end of the contract. Until then, the agreed benefits may generally continue to be used.

Statutory extraordinary termination and withdrawal rights remain unaffected.

8.12 Automatic Contract Renewal

Where automatic renewal is agreed for a subscription, the applicable renewal conditions are stated before the contract is concluded.

For consumers, automatic renewal shall only take place in compliance with the applicable statutory requirements.

Where required by law, Simudrom will separately and in good time inform consumers of an upcoming contract renewal and their option to terminate.

8.13 Operational Interruptions and Technical Availability

Simudrom may temporarily take individual simulators or services out of operation due to maintenance, repairs, technical faults, safety measures or other operationally necessary measures.

Short-term and reasonable restrictions do not generally result in an extension of the subscription or payment for unused subscription benefits.

In the event of substantial and longer-lasting restrictions attributable to Simudrom, appropriate alternative options, credits or extensions shall be offered.

Mandatory statutory rights remain unaffected.

8.14 Changes to Subscriptions

Simudrom may change equipment, vehicles, tracks, software or other technical components of the offering provided that the essential nature of the agreed service is not materially impaired.

Prices, free minutes, discounts, event entries and other benefits may be changed for future contracts.

For existing subscriptions, the benefits and prices agreed at the time the contract was concluded shall generally apply.

Material changes to existing contractual relationships shall only be made within the scope of the contractual agreement and applicable statutory provisions.

9. Right of Withdrawal for Online Purchases and Distance Contracts

Consumers generally have a statutory 14-day right of withdrawal for contracts concluded online or by other means of distance communication, unless a statutory exception applies.

The withdrawal period begins in accordance with the applicable statutory provisions.

Information regarding the right of withdrawal and a model withdrawal form will be provided during the ordering process or together with the contract confirmation where required by law.

If a consumer expressly requests that Simudrom begin performing a service during the withdrawal period, the statutory provisions regarding performance during the withdrawal period and any proportionate amount payable shall apply.

The right of withdrawal may expire early in the case of fully performed services where the statutory requirements for such expiry are met.

Mandatory consumer rights remain unaffected.

10. Rules of Use and Safety

Customers are required to use the provided sim racing equipment carefully and in accordance with staff instructions.

All safety and usage instructions issued by Simudrom staff must be followed.

Customers must discontinue use if they do not feel physically capable of continuing or experience symptoms such as dizziness, nausea or other discomfort.

Before beginning use, customers must inform staff of any circumstances known to them that may prevent safe use.

In the event of intentional or culpably improper damage to the equipment provided, the statutory rules on damages shall apply.

11. Liability

Simudrom shall be liable in accordance with statutory provisions for damage caused intentionally or by gross negligence.

Liability for personal injury and other liability that cannot legally be excluded or limited remains unaffected.

Simudrom shall only be liable for physical reactions such as dizziness, nausea or similar discomfort to the extent provided by law.

Liability for personal items brought onto the premises shall only arise to the extent provided by law.

12. House Rules and Conduct

Simudrom reserves the right to exclude persons from use or participation if they behave in a manner that endangers safety, is aggressive, significantly disruptive, intoxicated or under the influence of drugs, fail to follow staff instructions or use the equipment improperly.

In such cases, there is no entitlement to a refund where the exclusion was culpably caused by the customer and no mandatory statutory rights provide otherwise.

13. Data Protection

Personal data is processed in accordance with our Privacy Policy and applicable data protection laws.

Personal data is processed in particular where this is necessary for contract administration, booking, payment, customer communication, compliance with legal obligations or on the basis of another applicable legal basis.

Where necessary for processing bookings and payments, personal data may be transmitted to booking and payment service providers used by Simudrom.

14. Amendments to the GTC

Simudrom may amend these GTC for future contracts.

As a general rule, the version valid at the time the respective contract is concluded shall apply.

Contracts already concluded remain unaffected by subsequent amendments to the GTC unless an amendment has been expressly and validly agreed or is required due to mandatory statutory provisions.

15. Governing Law and Jurisdiction

Austrian law shall apply, excluding the United Nations Convention on Contracts for the International Sale of Goods.

For consumers, this choice of law shall apply only insofar as it does not deprive the consumer of mandatory consumer protection provisions of the country in which the consumer has their habitual residence.

The statutory places of jurisdiction shall apply to consumers.

For business customers, the competent court at the registered office of ZAFE GmbH is agreed as the place of jurisdiction.

16. Severability

Should individual provisions of these GTC be or become wholly or partially invalid or unenforceable, the validity of the remaining provisions shall remain unaffected.

The applicable statutory provisions shall apply in place of any invalid provision.
